Terms of Use
Effective date: October 29, 2026
Last updated: October 29, 2026
Welcome to ToShay: Homeschool Exchange. These Terms of Use ("Terms") are a legal agreement between you and 12 Stones Holdings LLC, a Virginia limited liability company doing business as ToShay: Homeschool Exchange ("ToShay," "we," "us," or "our"). We operate the website at https://homeschool.exchange and any successor domain (the "Service").
Please read these Terms carefully. By creating an account or using the Service, you agree to them and to our Community Guidelines, which are part of these Terms. If you do not agree, do not use the Service.
The Service is currently in beta. Features may change, be added, or be removed as we improve it.
1. What ToShay: Homeschool Exchange is
ToShay: Homeschool Exchange is a venue where homeschooling families list, browse, buy, sell, trade, and give away curriculum and educational materials, and post "wanted" ads for materials they are looking for.
We are not a party to transactions between users. We do not own, inspect, warrant, or take possession of any item listed. We do not verify the accuracy of listings, the condition of items, or the identity, honesty, or reliability of any user. Any agreement to buy, sell, trade, or ship an item is solely between the users involved.
2. Eligibility
You must be at least 18 years old to create an account or use the Service. By using the Service, you represent that you are 18 or older and legally able to enter into these Terms.
The Service is intended for users in the United States. We make no representation that it is appropriate or available elsewhere.
3. Your account
You are responsible for the accuracy of the information you provide, for keeping your password confidential, and for all activity that occurs under your account. Notify us promptly at support@homeschool.exchange if you believe your account has been accessed without your permission.
You may use your account for your own household's homeschooling, but you may not create an account in another person's name, impersonate anyone, maintain multiple accounts to evade suspension, or transfer your account to another person.
4. Listings and wanted ads
You may list only items you own and have the legal right to sell or transfer.
You may list: physical books, workbooks, manipulatives, teacher's guides, and other tangible educational materials that you own.
You may not list:
- Photocopies, scans, reproductions, or any copy of copyrighted material you did not create
- Digital files, PDFs, or downloads of published curriculum
- Login credentials, access codes, or license keys for online curriculum or subscription programs, including materials whose license expressly prohibits transfer
- Items you do not physically possess
- Counterfeit or unauthorized reproductions
- Anything whose sale is prohibited by law
- Weapons, ammunition, hazardous materials, drugs, alcohol, tobacco, or vaping products
- Live animals
- Items unrelated to home education, where the listing is primarily commercial spam
Reselling a physical book you legally purchased is generally permitted under the first sale doctrine. Copying it, scanning it, or transferring a digital license is not. If you are unsure whether a specific item may be transferred, check the publisher's license terms before listing it.
Listings must accurately describe condition, including markings, missing pages, water damage, and whether consumable pages have been used. Photos you upload must be of the actual item you are offering.
Book information from outside sources. When you look up a book by ISBN, the Service may fill in details such as title, author, publisher, a summary, and a cover image from third-party sources such as Open Library and Google Books. This information is provided for convenience and may be incomplete or wrong. Cover images added this way are labeled "Stock image" and do not show the condition of the actual copy. You are responsible for checking that your listing is accurate.
Wanted ads may be posted only for items that could themselves be listed under this section, and they are subject to the same rules.
We may remove any listing or wanted ad at any time, with or without notice, for any reason.
5. Payments
The Service does not currently process payments. Buyers and sellers arrange payment and shipping or pickup directly with each other, and any money that changes hands does so outside the Service. We do not charge fees for listing, buying, selling, or trading at this time.
Refunds, returns, and disputes are between the buyer and the seller. We do not offer buyer protection, escrow, or guaranteed refunds, and we are not responsible for items that are not delivered, not as described, damaged in shipping, or otherwise unsatisfactory. If a dispute arises, work with the other user directly. Depending on how you paid, you may also have recourse through your card issuer or payment app.
You are responsible for determining and paying any taxes that apply to your transactions, including sales tax and income tax where applicable.
If we add payment processing or fees in the future, we will update these Terms before those features take effect, and any fee will be disclosed to you before you complete a transaction.
6. Messaging
The Service includes direct messaging between users. Use it to arrange transactions, not to harass, spam, solicit unrelated business, or send unsolicited promotional material.
Messages cannot be deleted by either the sender or the recipient once sent. This keeps a record available if a problem needs to be reported.
Messages are stored on our systems and are not end-to-end encrypted, so we are technically able to access them. We do not read messages routinely, but we may access them to investigate a report, respond to a support request, comply with law, or protect the safety of users. Do not use messaging to share passwords, financial account numbers, government identification numbers, or other sensitive personal information.
7. Ratings
Who can rate. Only buyers rate sellers; sellers do not rate buyers. When a seller marks a listing sold, traded, or given away, they choose the buyer from the people who messaged them about that listing, or choose "Sold elsewhere / not through ToShay." If you are chosen as the buyer, you can rate the seller once for that listing, within 30 days of being chosen. A rating has 1 to 5 stars, optional tags (such as "Shipped quickly" or "Slow to respond"), and an optional comment of up to 300 characters. Wanted ads cannot be rated.
Editing, and when a rating becomes public. For 12 hours after you post a rating, only you can see it, and you can edit it. After 12 hours it is final: it appears on the seller's ratings page with your display name and the month you posted it, it counts toward their average, and it can no longer be changed. Ratings cannot be deleted, either before or after they become final.
For sellers. You can change the buyer you chose until the buyer posts a rating, or until 48 hours after you marked the listing sold, whichever comes first. After that the choice is locked. While a listing's sale is locked, you cannot edit the listing or its photos or mark it available again, because the rating must stay tied to the listing the buyer saw. If you choose "Sold elsewhere," the choice is never locked by time.
Rating rules. Ratings must be honest and based on your own experience of that transaction. Do not post a rating that is false, posted from another account, or given in exchange for something. Do not include addresses, phone numbers, email addresses, or other personal information. Sellers may not offer anything for a rating, pressure a buyer about one, or choose as the buyer anyone who did not take part in the transaction.
Reporting and hiding ratings. If you are signed in, you can report a rating with the Report option next to it, for example if it contains personal information. We hide a rating only if it breaks these Terms or the Community Guidelines. We do not hide a rating because it is negative or because the seller disagrees with it. A hidden rating no longer appears or counts toward the seller's average.
Ratings are users' opinions. Ratings are the opinions of the users who post them, not ours, and we do not verify them. We are not obligated to review or remove any particular rating.
8. Curriculum reviews
Who can review and comment. Anyone can read curriculum reviews and the comments on them, whether signed in or not. If you are signed in, you can review curriculum you have used and comment on reviews. You can review each book once. A review has 1 to 5 bookmarks, the grade you used the material with, how long you used it, optional tags (such as "Open and go" or "Heavy on prep"), and optional text of up to 2,000 characters. A comment can be up to 500 characters.
Editing and deleting. You can edit or delete your own review at any time. An edited review is marked "Edited." Deleting a review also deletes every comment on it, including comments posted by other users. You can delete your own comments, but you cannot edit them. You cannot delete other users' comments on your review, but you can report them.
Books added by users. If a book is not yet on the Service, you can add it by ISBN lookup or by entering its details. Book details and covers found by ISBN lookup come from outside sources, as described in section 4, and may be incomplete or wrong. A book is a shared page that other users' reviews are attached to, so once added, it cannot be edited or deleted by users, and it stays on the Service if you delete your account. We may correct a book's details, or combine duplicate books into one page along with their reviews.
Disclose your connections. If you have a connection to the material you are reviewing, you must write review text and say so plainly at the start of it. A rating with no review text is not allowed in that case. A connection includes being its author or publisher, or a commercial seller of it, such as a store or distributor; working for or being paid by any of them; earning a commission or other reward when people buy it, for example through an affiliate link; working for or with a competitor; or having received it free or at a discount in exchange for reviewing it. Reselling your own used copy, including listing it on ToShay, is not a connection. For example: "I am the author," "I work for the publisher," or "The publisher sent me a free copy to review." Reviews of your own or a competitor's products that do not disclose the connection may be removed.
Review rules. Reviews must be honest and based on your own experience using the material. Do not:
- Review material you have not used
- Use more than one account to review the same book
- Offer or accept payment, free products, or anything else of value in exchange for a positive review or a particular rating
- Include addresses, phone numbers, email addresses, children's full names, or other personal information
- Copy text from the publisher, another website, or another review; describe the material in your own words
- Use a review or comment mainly to advertise a business, product, or website
Reporting and hiding. If you are signed in, you can report a review or comment with the Report option next to it. We hide or remove a review or comment only if it breaks these Terms or the Community Guidelines, including the disclosure rule above. We do not hide a review because it is negative, or because the author, publisher, or anyone else disagrees with it. A hidden review no longer appears to other users or counts toward the book's average rating, and its comments are hidden with it. You can still see your own hidden review or comment.
Reviews are users' opinions. Reviews and comments are the opinions of the users who post them, not ours. We do not verify them, including whether a reviewer used the material or has a connection to it, and we are not obligated to review or remove any particular review or comment. Reviews and comments are public, and may appear in search engine results.
9. Your content
You keep ownership of the listings, wanted ads, photos, profile information, messages, ratings, curriculum reviews, and comments you create.
By posting content to the Service, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute that content for the purpose of operating and promoting the Service. This license lasts for as long as the content is stored on the Service. Because some content is kept after you remove it (for example, removed listings, sent messages, and final ratings are retained for safety and record-keeping, and curriculum reviews and comments stay on the Service after you delete your account), the license continues for those retained copies, and for copies kept in backups or where we are required by law to keep them. We will not use retained content to promote the Service.
You represent that you own or have permission to post the content you upload, and that it does not infringe anyone's rights.
10. Prohibited conduct
You agree not to:
- Impersonate another person or misrepresent your affiliation with anyone
- Harass, threaten, defame, or discriminate against another user
- Post false, misleading, or fraudulent listings or wanted ads
- Post false or manipulated ratings, rate a transaction you did not take part in, or choose a buyer who did not take part in the sale
- Post false or misleading curriculum reviews, review material you have not used, or hide a connection to material you review
- Scrape, crawl, or harvest data or user information from the Service
- Attempt to gain unauthorized access to the Service, other accounts, or related systems
- Interfere with or disrupt the Service, including by introducing malware or overloading infrastructure
- Violate the Community Guidelines
- Use the Service for any unlawful purpose
11. Reporting
You can report a listing, a wanted ad, a message conversation, a rating, a curriculum review, or a comment on a review using the Report option on it. We review reports and may take any action we consider appropriate, including removing content, warning a user, or suspending or terminating an account. We are not obligated to take action on any particular report, and we may not be able to tell you what action, if any, was taken.
Reports are kept even if the reported content or account is later deleted.
If you believe someone is in immediate danger, contact local emergency services first.
12. Copyright and DMCA
We respect intellectual property rights and will respond to valid notices of claimed infringement under the Digital Millennium Copyright Act.
If you believe content on the Service infringes your copyright, send a written notice to our designated agent:

Phone: 804-881-6200
Your notice must include:
- Your physical or electronic signature
- Identification of the copyrighted work claimed to be infringed
- Identification of the material claimed to be infringing and enough information for us to locate it, such as the listing URL
- Your address, telephone number, and email address
- A statement that you have a good faith belief the use is not authorized by the copyright owner, its agent, or the law
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf
We will remove or disable access to material that is the subject of a valid notice. Please be aware that knowingly misrepresenting that material is infringing can carry legal liability.
Counter-notices. If you believe your content was removed in error, you may submit a counter-notice to the same address containing the elements required by 17 U.S.C. § 512(g)(3). If we receive a valid counter-notice, we will forward it to the person who sent the original notice, and we may restore the material in about 10 to 14 business days unless that person tells us they have filed a court action to keep it down.
Repeat infringers. It is our policy to terminate, in appropriate circumstances, the accounts of users who are repeat infringers of copyright.
13. Suspension and termination
You may close your account at any time by emailing support@homeschool.exchange from the email address on your account. We will delete your account and personal information as described in our Privacy Policy. Some information, such as messages you sent to other users, ratings, curriculum reviews, and comments you posted, books you added, and reports, may be retained as described there.
We may suspend or terminate your account, remove your content, or restrict your access to the Service at any time, with or without notice, if we believe you have violated these Terms or the Community Guidelines, created risk or legal exposure for us or other users, or if we discontinue the Service.
Sections that by their nature should survive termination, including the content license, disclaimers, limitation of liability, indemnification, and dispute resolution, will survive.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that content on the Service is accurate or reliable.
We make no warranty regarding any item listed, any user, or any transaction. You interact with other users at your own risk. If you arrange to meet someone in person for a local pickup, use ordinary caution: meet in a public place during the day, and consider bringing someone with you.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
16. Indemnification
You agree to indemnify and hold harmless 12 Stones Holdings LLC and its members, managers, and agents from any claim, demand, loss, liability, or expense, including reasonable attorneys' fees, arising out of your use of the Service, your content, your transactions with other users, or your violation of these Terms or of any law or third-party right.
17. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of laws rules.
You agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Virginia, and you consent to the personal jurisdiction of those courts.
Before filing anything, please contact us at support@homeschool.exchange. Most problems can be resolved informally and quickly.
18. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where practical, notify you through the Service or by email. Your continued use of the Service after changes take effect means you accept the revised Terms.
19. General
These Terms, together with the Community Guidelines and Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a transfer of the Service.
